These Terms and Conditions govern your use of the Jasmine Relay website at jasminer and the engagement of any services we provide. By using our website or contracting our services, you agree to these terms. We encourage you to read them carefully. If anything is unclear, please contact us before proceeding.
1. About Jasmine Relay
Jasmine Relay provides AI integration services to businesses in Hong Kong. Our registered place of business is 158 Prince Edward Road West, Prince Edward, Kowloon, Hong Kong. References to "we", "us", or "Jasmine Relay" in these terms refer to this entity.
2. Use of This Website
2.1 Permitted Use
You may use this website for the purpose of learning about our services and making enquiries. All other uses require our prior written consent. You agree not to:
- Copy, reproduce, or redistribute website content without permission
- Attempt to gain unauthorised access to any part of the website or its underlying systems
- Use the website in any way that is unlawful or that could damage our reputation
- Submit false or misleading information through our contact form
2.2 Availability
We endeavour to maintain the website in good working order, but we do not warrant that it will be available at all times. Maintenance, updates, or circumstances beyond our control may result in temporary unavailability. We are not liable for any inconvenience this may cause.

Where our website links to third-party websites, those sites are not under our control. We are not responsible for their content, accuracy, or privacy practices. Links are provided for convenience only.
3. Our Services
3.1 Service Descriptions
We offer three service engagements:
- F&B Menu and Promotional Content Assistant — a drafting service for food and beverage operators, priced at HK$1,280
- Onboarding Process Support for Financial Intermediaries — support for client onboarding workflows, priced at HK$2,580
- Long-Term AI Partnership for Small Family Businesses — a twelve-month AI adoption partnership, priced at HK$4,380

3.2 Professional Judgement
All AI-assisted outputs produced through our services are reviewed and approved by qualified staff before delivery. Jasmine Relay does not represent that any output will achieve a particular commercial result. Clients retain responsibility for final decisions, including all editorial, compliance, and business judgements.
3.3 Compliance Services
Where our services touch on regulated activities — in particular, financial intermediary onboarding — we do not provide legal or regulatory advice. All compliance decisions remain with the client's trained and licensed personnel. Our role is to support operational workflow, not to make or substitute for professional compliance judgements.
4. Engagement and Payment
4.1 Forming an Agreement
An engagement begins when both parties have agreed to the scope of work in writing — typically through a written proposal or service agreement signed by both parties. An enquiry through this website does not constitute a binding agreement.
4.2 Payment Terms
Payment terms are set out in individual service agreements. Unless otherwise agreed, invoices are payable within 14 days of issue. We reserve the right to pause or discontinue service delivery where invoices remain unpaid beyond this period.
4.3 Scope Changes
Any material change to the agreed scope of work requires written agreement from both parties before additional work is undertaken. We will not charge for work outside the agreed scope without prior written confirmation.
5. Intellectual Property
5.1 Client Materials
You retain ownership of all materials, brand assets, and information you provide to us for the purposes of our engagement. You grant us a limited licence to use these materials solely to deliver the agreed services.
5.2 Deliverables
Upon full payment, ownership of deliverables produced specifically for your engagement transfers to you. This includes written content, playbooks, and workflow documentation created as part of your service.
5.3 Website Content
All content on this website — including text, design, and structure — is the property of Jasmine Relay and is protected by applicable intellectual property law. You may not reproduce or adapt this content without our written consent.
5.4 Methodology and Tools
Our internal methodologies, process frameworks, and proprietary tools remain the property of Jasmine Relay. Delivery of a service does not transfer ownership of these underlying assets.
6. Confidentiality
Each party agrees to keep confidential any non-public information received from the other party in connection with an engagement. This obligation continues for three years after the end of the engagement, unless the information becomes publicly known through no breach of this obligation.
We treat all client business information — including brand guidelines, workflow details, and staff information — with care and use it only for the purposes of the engagement.
7. Limitation of Liability
To the fullest extent permitted by applicable Hong Kong law:
- We are not liable for any indirect, consequential, or incidental loss arising from the use of our services or website
- Our total liability for any claim arising from a service engagement is limited to the fees paid by the client for that engagement
- We are not liable for outcomes that depend on decisions made by the client, including editorial, compliance, or commercial decisions
Nothing in these terms limits liability for fraud, personal injury caused by negligence, or any other matter that cannot be excluded under Hong Kong law.
8. Termination
8.1 Termination by the Client
You may terminate a service engagement by giving us written notice. Where termination occurs before completion, fees will be due for work completed up to the date of termination, as set out in the service agreement.
8.2 Termination by Jasmine Relay
We may suspend or terminate an engagement if you are in material breach of these terms or a service agreement, and that breach is not remedied within 14 days of written notice. We may also terminate if continued engagement would require us to act unlawfully.
9. Dispute Resolution
We hope that any disagreements can be resolved through direct discussion. If a formal dispute arises, both parties agree to attempt resolution through good-faith negotiation before pursuing other remedies. These terms are governed by the laws of Hong Kong, and the courts of Hong Kong have jurisdiction over any disputes that cannot be resolved informally.
10. Amendments
We may update these Terms and Conditions from time to time. The revised version will be posted on this page with an updated date. Continued use of our website after changes are posted constitutes acceptance of those changes. Changes to service terms do not apply retrospectively to ongoing engagements.
11. Entire Agreement
These Terms and Conditions, together with any written service agreement, constitute the entire agreement between you and Jasmine Relay with respect to the subject matter covered. They supersede any prior representations, discussions, or understandings.
